Texas School for the Deaf
Alumni Association
Article I
Name
The name of this association shall be the Texas for the Deaf Alumni Association.
Article II
Purpose
Subject to the provisions of Article 1396-2.1 of the Texas Non-Profit Corporation Act, as amended from time to time (the “Act”), the Association is organized exclusively for charitable, religious, educational, scientific, literary, or for testing for public safety purposes, or the prevention of cruelty to children or animals within the meaning of Section 501 ©(3) of the Internal Revenue Code of 1086, as amended (the “Code”), or the corresponding provision of any future United States Internal Revenue Law, which purposes shall include, without limitation, providing education and charitable services to deaf or hard of hearing and to professionals who provide services to such persons. The Association shall be operated exclusively for such purposes, and no part of its net earnings shall inure to the benefit of, or be distributable to, its members, officers, and Board members of the Association, except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered by members, officers, and members of committees of the Association, and to make payments and distributions in furtherance of the purposes set forth in the Articles of Incorporation. No substantial part of its activities shall be carrying on propaganda, or otherwise attempting to influence legislation, and the Association shall not participate in, or intervene in (including the publishing or distributing of statements), any political campaign on behalf of or in opposition to any candidate for public office. In no event shall the Association carry on any activities not permitted to be carried on (a) by an association exempt from federal income tax under Section 501(c)(3) of the Code or (b) by an association, contributions to which are deductible under Section 170(c)(2) of the Code.
Article III
Membership
Section 1. Active membership shall be open to any deaf person who has graduated from or attended the Texas School for the Deaf for any length of time.
Section 2. Association membership shall be open to spouses of any alumnus of the Texas School for the Deaf or to any deaf person who supports the objectives of this Association.
Section 3. Honorary members shall be elected by a majority of active members present at the Annual meeting.Article IV
Dues
Section 1. Dues shall be set by the members at their Annual Meeting.
Section 2. Dues shall be effective from annual meeting to annual meeting.
Article V
Meetings
Section 1. Annual Meetings of the Association shall be in Austin, Texas in the fall to coincide with the observation of homecoming at the Texas School for the Deaf.
Section 2. The Board shall have the power to change the date and place of the Annual Meeting if deemed prudent and necessary.
Article VI
Officers
Section 1. The officers of this Association shall be a President, a Vice president, a Secretary, and a Treasurer elected at the Annual Meeting.
Section 2. Three Board members shall also be elected at the Annual Meeting.
Section 3. Vacancies in office and Board membership between annual meetings shall be filled by the Executive Board.
Section 4. All officers shall be active members.
Article VII
Executive Board
Section 1. The Executive Board shall be composed of the elected officers and board members.
Section 2. The Executive board shall have authority to make decisions in accordance with the objectives of this Association and as need may arise.
Section 3. The Executive Board shall have a minimum of four meetings a year.
Section 4. Any Board member who fails to attend three meetings without excuse shall be replaced by a majority of Board members.
Article VIII
Duties of Officers
Section 1. President. The President shall be the Chief Executive Officer of the Association, have general and active management of the business of the Association and shall see that all orders and resolutions of the Executive Board and the members are carried into effect. He or she shall preside at all meetings of the members and the Executive Board. He or she shall be an ex-officio member of all committees.
Section 2. Vice President. The Vice President shall, in the absence or disability of the President, perform the duties of the office of the President and have the authority and exercise the powers of the president. He or she shall perform such duties and have such other authority as the Executive Board may time to time delegate.
Section 3. Secretary. The Secretary shall attend all meetings of the Executive Board and all meetings of the members and record all of the proceedings in a minute book to be kept for that purpose and shall perform like duties for the standing committees when required. The Secretary shall give notice of all meetings of the members and regular and special meetings of the Executive Board. The Secretary shall keep a membership roster meetings of the Executive Board of the members furnished by the Treasurer. He or she shall keep an inventory of all properties owned by the Association.
Section 4. Treasurer. The Treasurer shall have custody of the Association’s funds and keep full and accurate accounts and records of receipts, disbursements and other transactions of the Association, and shall deposit all monies and other valuable effects in the name and to the credit of the Association. The Treasurer shall keep a financial statement up-to-date and submit a report on the state of the association’s finances at the Annual Meeting and when called upon to do so by the Executive Board. He or she shall turn over to the Auditing committee all such books, receipts and records following the end of each fiscal period for auditing purposes. He or she shall co-sign checks signed by the President.
Article IX
Executive Board
Section 1. The Executive Board shall be composed of the elected officers and board members.
Section 2. The Executive Board shall have authority to make decisions between Annual Meetings in accordance with the objectives of this Association and as need may arise.
Section 3. Any Board member shall be removed for failure to attend three business meetings without excuse during the year by a majority vote of the Board.
Article X
Committees
Section 1. Standing Committees to be appointed by the President shall be Law, Resolutions, Ways and Means, Honors and Recognitions, Program, and T.S.D. Homecoming, Auditing, and Hall of Fame.
Section 2. All chairs of standing committees shall be active members.
Section 3. The President may appoint special committees if deemed necessary.
Article XI
Amendments
These Bylaws may be amended at the Annual Meeting by a two/third vote of those present and voting, provided the amendment was presented, at least one month prior to the meeting.
Article XII
Parliamentary Authority
In parliamentary procedures, unless otherwise specified in these Bylaws, Robert’s Rules of Order, current edition, shall be the parliamentary authority governing deliberations of this organization.
Article XIII
Dissolution
Upon dissolution of this organization, after payment of all existing debts and liabilities, all assets shall be distributed among deafness-related 501 (c)(3) organizations that are organized and operated exclusively for religious, charitable, educational, or scientific purposes.
